GENERAL WAIVER, RELEASE OF LIABILITY, INDEMNITY AGREEMENT, AND MULTIMEDIA RELEASE
RELEASE AND INDEMNITY AGREEMENT
TO: 102190362 Saskatchewan Ltd., its officers, directors, shareholders, employees, contractors, agents,
affiliates, successors, assigns, legal representatives, and any person or entity acting under its direction or
control (collectively, the "Released Parties")
WHEREAS the undersigned (the "Participant") desires to participate in the events, programs, services,
activities, or otherwise attend or use the facilities, equipment, premises, and/or offerings made available by or
on behalf of 102190362 Saskatchewan Ltd. (the "Activities");
NOW THEREFORE, in consideration of being permitted to engage in the Activities, and for other good and
valuable consideration (the receipt and sufficiency of which are hereby acknowledged), the Participant agrees
as follows:
1. RELEASE AND WAIVER OF LIABILITY
The Participant, on behalf of themselves and their heirs, executors, administrators, successors, and assigns,
hereby irrevocably and unconditionally waives, releases, discharges, and forever holds harmless the
Released Parties from any and all claims, demands, liabilities, obligations, actions, causes of action, suits,
damages, losses, costs (including legal fees on a solicitor-client basis), or expenses of any kind whatsoever,
whether known or unknown, foreseen or unforeseen, at law or in equity (collectively, "Claims"), arising out of
or in any way related to the Participant's participation in the Activities, including without limitation:
- Personal injury (including death),
- Loss or damage to personal property, and
- Any other loss or damage, howsoever caused.
This Release applies regardless of whether such Claims arise in whole or in part from the negligence or
alleged negligence of any of the Released Parties.
2. INDEMNIFICATION
The Participant agrees to indemnify and save harmless the Released Parties from and against any and all
Claims brought against or incurred by the Released Parties arising from:
- The Participant's participation in the Activities;
- The acts or omissions of any invitees or guests of the Participant; or
- Any breach of this Agreement by the Participant.
3. ACKNOWLEDGEMENT OF RISK
The Participant acknowledges and agrees that participation in the Activities may involve inherent and
unforeseen risks, dangers, and hazards, and may result in personal injury, property damage, or death. The
Participant voluntarily accepts and assumes all such risks and hazards.
4. COMPLIANCE WITH RULES
The Participant affirms that they have read, understood, and agreed to comply with all rules, policies, and
procedures established by 102190362 Saskatchewan Ltd. and will immediately notify staff of any unsafe or
hazardous conditions observed.
5. ARBITRATION
Any dispute, claim, or controversy arising out of or in relation to this Agreement, including matters of validity,
performance, or interpretation, shall be resolved by binding arbitration pursuant to the Arbitration Act
(Saskatchewan). The decision of the arbitrator shall be final and binding, and judgment may be entered
thereon in any court of competent jurisdiction. This clause does not limit the release and waiver contained
herein.
6. SEVERABILITY AND GOVERNING LAW
If any term or provision of this Agreement is found to be invalid or unenforceable, such provision shall be
severed and shall not affect the remaining terms. This Agreement shall be governed by and construed in
accordance with the laws of the Province of Saskatchewan, and venue for any legal proceedings shall be
exclusively in Regina, Saskatchewan.
7. ENTIRE AGREEMENT
This Agreement represents the entire understanding between the Participant and 102190362 Saskatchewan
Ltd. concerning the subject matter herein and supersedes all prior agreements, representations, or
understandings, whether oral or written.
MULTIMEDIA RELEASE
The Participant acknowledges and agrees that during their participation in the Activities, their image, voice,
likeness, or performance may be photographed, filmed, recorded, or otherwise captured (the "Recordings").
The Participant hereby grants to 102190362 Saskatchewan Ltd. and the Released Parties a perpetual,
worldwide, irrevocable, royalty-free, fully paid-up right and license to use, reproduce, publish, distribute, edit,
modify, and otherwise exploit such Recordings in any media now known or hereafter devised, for any lawful
purpose, including but not limited to marketing, promotional, or commercial purposes.
The Participant expressly waives all moral rights and any rights to royalties or other compensation arising
from or related to the use of such Recordings.
The Participant further agrees to release and hold harmless the Released Parties from any liability or claims,
including but not limited to misappropriation of personality, defamation, invasion of privacy, or infringement of
publicity rights, in connection with the use of the Recordings.
ACKNOWLEDGEMENT
I hereby confirm that I have carefully read this Waiver, Release of Liability, Indemnity Agreement, and
Multimedia Release in its entirety. I understand its contents and acknowledge that I am voluntarily waiving
substantial legal rights. I acknowledge that I have had the opportunity to seek independent legal advice prior
to signing.
